Umeda MICE App "AIDA UMEDA" Terms of Service
These Terms of Service (hereinafter, the "Terms") set forth the terms and conditions for the use of the Umeda MICE App “AIDA UMEDA” (hereinafter, the "Service") provided by Hankyu Hanshin Properties Corp. (hereinafter, the "Company").
1Article 1 (Applicability)
- The Terms shall apply to all relationships between users and the Company concerning the use of the Service.
- In addition to the Terms, the Company may establish various rules, regulations, etc. (hereinafter collectively, "Individual Provisions") regarding the use of the Service. Regardless of their name, the Individual Provisions shall form a part of the Terms.
- In the event of any conflict between the provisions of the Terms and the Individual Provisions, the provisions of the Individual Provisions shall prevail, unless otherwise specified in the Individual Provisions.
2Article 2 (Service Content)
- Through the Service, the Company provides various functions determined by the Company, such as event information and map functions, communication functions, event ticket purchasing functions, for participants of MICE events.
- The Company may change, add, or discontinue the content of the Service at any time without prior notice to users.
3Article 3 (User Registration)
- Any person who wishes to use the Service shall apply for user registration by agreeing to the Terms and following the method prescribed by the Company. User registration shall be completed upon the Company's approval of the application.
- Applications for user registration shall be made using HH cross ID, Google Account, email address, or other methods designated by the Company (hereinafter, "Linked ID").
- The Company may refuse an application for user registration if it determines that the applicant has any of the following reasons. The Company shall have no obligation to disclose the reasons for such disapproval.
(a) If false information is provided in the application for user registration.
(b) If the application is from a person who has previously violated the Terms.
(c) If a minor under applicable law does not obtain consent from such as its parent or legal guardian, or other legal representative.
(d) If the applicant has previously had their use of the Service suspended or their registration deleted by the Company.
(e) If the Company determines that the applicant is an Anti-Social Force (meaning organized crime syndicates, members of organized crime syndicates, persons who have not passed five years since ceasing to be members of organized crime syndicates, quasi-members of organized crime syndicates, companies related to organized crime syndicates, corporate racketeers, groups masquerading as social movements, special intelligence crime groups, and other equivalent parties; hereinafter, “Anti-Social Forces”), or if the Company determines that the applicant is currently or has in the past cooperated with or been involved in the maintenance, operation, or management of Anti-Social Forces through providing funds or other means, or has had any other interaction or involvement with Anti-Social Forces.
(f) Other cases where the Company deems the user registration inappropriate.
4Article 4 (Management of User ID and Password)
- Users shall appropriately manage their User ID, password, and Linked ID authentication information for the Service at their own responsibility.
- Users shall not, under any circumstances, transfer or lend their User ID and password or Linked ID authentication information to a third party, or share them with a third party. If a login is made using a combination of User ID and password or Linked ID authentication information that matches the registered information, the Company may deem such use to be by the user registered with that User ID.
- In the event that the user incurs damage due to, including but not limited to, insufficient management of User ID, password, and Linked ID authentication information, errors in use, use by a third party, unauthorized access, the user shall be responsible for such damage.
5Article 5 (Fees and Payment Methods)
- Unless otherwise specified, the Service can be used free of charge. However, users must bear the cost of preparing and maintaining communication lines, smartphones, and other devices used to access the Service. The Company is not responsible for any issues with the user's communication lines, devices, or usage environment.
- Notwithstanding the preceding paragraph, some functions may be provided on a paid basis. In such cases, users shall pay the usage fees separately determined by the Company or displayed in the Service, using the payment method designated by the Company. Furthermore, the purchase of event tickets, as specified in the next article, shall be subject to payment of the applicable ticket price.
- The Company shall establish a certain notification period for revisions to the usage fees for paid functions mentioned in the preceding paragraph. If users do not request cancellation within such period, such users shall be deemed to have agreed to the new fees.
6Article 6 (Ticket Sales)
- Users may purchase MICE event tickets through the Service. However, the Company may refuse the sale of tickets in the following cases:
(a) If users violate or have previously violated the Terms.
(b) If users have previously engaged in behavior at a MICE event that caused trouble to other users, event organizers, or other third parties, or hindered the Company's sales operations.
(c) If the application, payment, etc., are not completed by the due date through the Company's prescribed procedures. - Unless explicitly authorized by the MICE event organizer, the resale of tickets purchased by users through the Service is prohibited.
- In the event of a violation of the preceding paragraph, the organizer may, at their discretion, invalidate the purchased tickets, refuse refunds for the ticket price, and deny entry. If already admitted, the user shall immediately vacate the premises upon the request of the organizer. Furthermore, any troubles related to tickets purchased from sources other than directly through the Service, such as "ticket shops," "purchasing agents," or "scalpers," shall be resolved at the user's responsibility.
7Article 7 (User-Generated Content)
- Users may post, transmit, or upload text, images, videos, audio, and other information (hereinafter collectively, "User-Generated Content") on the Service through chat functions, review functions, profile information, etc.
- Users represent and warrant that their User-Generated Content does not infringe upon the copyrights, portrait rights, privacy rights, reputation rights, or other rights of any third party.
- Users represent and warrant that they possess the necessary intellectual property rights, such as copyright, for the User-Generated Content they post, or have obtained the necessary permissions from the rights holders.
- The copyright of User-Generated Content posted by users shall remain with the respective user. However, the Company may use (including but not limited to reproduction, adaptation, public transmission, and other uses) User-Generated Content royalty-free for purposes including, without limitation, providing, improving, enhancing the quality of, correcting deficiencies in, publicizing, and creating statistical data for the Service. Users shall not exercise moral rights of authors against such use. This provision shall not apply in cases where explicit consent from the user is required by laws and regulations for such use, such as for the content of individual chats.
- If the Company determines that User-Generated Content violates the Terms or laws and regulations, or if the Company deems it necessary for the proper operation of the Service, the Company may, without prior notice to users, delete, modify, hide, or refuse to publish all or part of the User-Generated Content.
8Article 8 (Prohibited Acts)
Users shall not engage in any of the following acts when using the Service:
(a) Acts that violate laws or public order and morals;
(b) Acts related to criminal activity;
(c) Acts that destroy, interfere with, or place an excessive burden on the functions of the server or network of the Company, other users of the Service, or third parties;
(d) Acts that may interfere with the operation of the Service;
(e) Acts of collecting, accumulating, or utilizing personal information, etc. (including, but not limited to, personal identification information, attribute information, behavioral history, chat content, etc.) concerning other users beyond the scope permitted by the Service;
(f) Unauthorized access or attempts thereof;
(g) Impersonating another user;
(h)Acts of directly or indirectly providing benefits to Anti-Social Forces in relation to the Service;
(i) Acts that infringe upon the intellectual property rights, portrait rights, privacy, reputation, or other rights or interests of the Company, other users of the Service, or third parties;
(j) Posting or transmitting content on the Service through chat functions, review functions, etc., that falls under or is determined by the Company to fall under any of the following;
- Excessively violent expressions
- Explicit sexual expressions
- Expressions that lead to discrimination based on race, nationality, creed, gender, social status, lineage, etc.
- Expressions that induce or promote suicide, self-harm, or drug abuse.
- Other expressions that include anti-social content and cause discomfort to others.
- Expressions that constitute defamation, harassment, threats, or slander against a specific individual or organization.
- Messages, images, videos, etc., that are inappropriate for the purpose of the event or cause significant annoyance to other participants.
(k) Acts for the purpose of, or determined by the Company to be for the purpose of, any of the following:
- Business, advertising, promotion, solicitation, or other profit-making activities contrary to the purpose of the Service (excluding those approved by the Company)
- Acts for the purpose of sexual acts or obscene acts
- Acts for the purpose of meeting or dating others
- Acts for the purpose of harassing or slandering other users
- Acts for the purpose of causing disadvantage, damage, or discomfort to the Company, other users of the Service, or third parties
- Other acts of using the Service for purposes different from its intended use.
(l) Religious activities or solicitation to religious organizations;
(m) Disclosing information viewable by other users (location information, profile, etc.) to a third party without the consent of that user;
(n) Acts that violate the Terms;
(o) Attempts to commit any of the acts in the preceding items; , or
(p) Other acts that the Company deems inappropriate.
9Article 9 (Suspension of Service Provision)
- The Company may, without prior notice to users, stop or suspend the provision of all or part of the Service if it determines that any of the following reasons exist:
(a) When performing maintenance, inspection, or update of the computer system related to the Service.
(b) When it becomes difficult to provide the Service due to force majeure such as earthquake, lightning, fire, power outage, or natural disaster.
(c) When a malfunction occurs in platforms, cloud computing services, or related services provided by third parties necessary for the provision of the Service.
(d) When computers or communication lines stop due to an accident.
(e) In other cases where the Company determines that the provision of the Service is difficult. - The Company shall not be liable for any disadvantages or damages incurred by users or third parties due to the suspension or interruption of the provision of the Service.
10Article 10 (Copyright and Intellectual Property Rights)
- All copyrights and other intellectual property rights concerning the Service and all information related to the Service (including, but not limited to, content, designs, software, images, texts; hereinafter collectively, "Content") shall belong to the Company or to rights holders who have granted the Company permission for their use. Users shall not reproduce, assign, lend, translate, adapt, repost, publicly transmit (including, but not limited to, making transmittable), transmit, distribute, publish, or use them for commercial purposes without authorization.
- Users shall use Content such as MICE event lecture materials and videos provided through the Service, in accordance with the separately presented terms of use, and shall not reproduce or redistribute them without permission.
11Article 11 (Restriction of Use and Registration Cancellation)
- If users fall under any of the following, the Company may, without prior notice, delete User-Generated Content, restrict all or part of the users’ use of the Service, or cancel the users’ registration:
(a) If the user violates any provision of the Terms.
(b) If it is found that there is false information in the registered details.
(c) If the credit card submitted by the user as a payment method becomes unusable.
(d) If there is a default in payment obligations, such as fees.
(e) If there has been no use of the Service for a certain period (or 2 years) since the last use.
(f) In other cases where the Company deems the use of the Service inappropriate. - If any of the events in the preceding paragraph occurs, the user shall automatically lose the benefit of time for all debts owed to The Company and must immediately pay all outstanding debts in a lump sum.
- If a user's registration is canceled, The Company's duties and obligations to provide services to the user shall also be terminated.
- The Company shall not be liable for any damages incurred by the user due to actions taken by The Company based on this Article.
12Article 12 (Withdrawal)
Users may withdraw from the Service by following the withdrawal procedure prescribed by the Company.
13Article 13 (DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY)
- THE COMPANY DOES NOT EXPLICITLY OR IMPLICITLY GUARANTEE THAT THE SERVICE, CONTENT, ETC., AND THE SERVICES USED FOR LINKED IDS ARE FREE FROM DE FACTO OR LEGAL DEFECTS (INCLUDING, BUT NOT LIMITED TO, DEFECTS RELATED TO SAFETY, RELIABILITY, ACCURACY, COMPLETENESS, EFFECTIVENESS, SUITABILITY FOR A PARTICULAR PURPOSE, SECURITY, ERRORS, BUGS, INFRINGEMENT OF RIGHTS, LOSS OR DAMAGE OF USER-GENERATED CONTENT).
- EXCEPT IN CASES OF THE COMPANY’S WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, , THE COMPANY’S LIABILITY FOR ANY DAMAGES INCURRED BY THE USER THROUGH THE USE OF THE SERVICE SHALL BE LIMITED TO THE AMOUNT EQUIVALENT TO THE FEES PAID BY THE USER FOR THE SERVICE IN THE IMMEDIATELY PRECEDING ONE-MONTH PERIOD.
- THE COMPANY SHALL NOT BE LIABLE FOR ANY TRANSACTIONS, COMMUNICATIONS, OR DISPUTES (INCLUDING, BUT NOT LIMITED TO, THOSE ARISING THROUGH CHAT FUNCTIONS OR INFORMATION SHARING FUNCTIONS, OR THOSE CAUSED BY LOCATION INFORMATION LINKAGE) THAT OCCUR BETWEEN USERS AND OTHER USERS OR THIRD PARTIES CONCERNING THE SERVICE.
14Article 14 (Changes to Service Content)
The Company may change the content of the Service or discontinue its provision without notifying users, and shall not be liable for any damages incurred by users as a result.
15Article 15 (Changes to Terms of Service)
- Each clause of the Terms may be changed if there is a reasonable necessity, such as changes in social conditions, provided that such changes do not contradict the purpose of the agreement and are within a reasonable scope.
- When making changes to the Terms according to the preceding paragraph, the Company shall announce the content of the revised terms and their effective date in advance through methods such as in-store display, the internet, or other appropriate means, and the revised terms shall become effective from the date after a reasonable period determined at the time of announcement.
16Article 16 (Handling of Personal Information)
- Users agree that personal information acquired by the Company through the use of the Service will be handled by the Company in accordance with the separately established "Privacy Policy."
- If users refuse the acquisition of some personal information, etc., through device settings, some functions of the Service may become unavailable.
17Article 17 (Notices and Communications)
Notices or communications between users and the Company shall be made by methods prescribed by the Company (push notifications, in-app messages, email, etc.). Unless the Company receives a change notification from users in accordance with a method separately determined by the Company, the Company may consider the currently registered contact information as valid and send notices or communications to that contact information, which shall be deemed to have reached users at the time of dispatch.
18Article 18 (Prohibition of Assignment of Rights and Obligations)
- Users shall not assign their contractual status under the Terms or their rights or obligations based on the Terms to a third party, or provide them as security, without the prior written consent of the Company.
- If the Company transfers the business related to the Service to a third party (including, but not limited to, business transfer, acquisition, merger, company split), the Company may transfer its contractual status under the Terms, rights and obligations based on the Terms, and user registration information and other customer information to the transferee of such business transfer, and users shall be deemed to have consented to such transfer in advance under this paragraph.
19Article 19 (Governing Law and Jurisdiction)
- The laws of Japan shall be the governing law for the interpretation of the Terms without giving effect to any choice or conflict of law provision or rule that would cause the application of laws of any other jurisdiction.
- Any disputes arising between the Company and users concerning the Service shall be subject to the exclusive jurisdiction of the Osaka District Court as the court of first instance.
